Assisted an Indiana Bank Holding Company and it’s Subsidiary in its Conversion from a “C” Corporation to a “S” Corporation

Amundsen Davis represents an Indiana bank holding company and its subsidiary financial institution that provides banking services to consumer and commercial customers from multiple locations throughout Indiana.  Our firm assisted the holding company in its conversion from a "C" corporation to a "S" corporation for Federal income tax purposes.  In that regard, our firm assisted the company in analyzing its shareholder base to determine its eligibility to convert to a "S" corporation, structuring and completing a transaction to eliminate non-qualified shareholders, and preparing the necessary regulatory and tax filings.  Our firm also assists the company with related ongoing compliance matters.
