Katie’s practice focuses on corporate governance, mergers and acquisitions, commercial contracts, and real estate and zoning matters. A dedicated and driven person, she enjoys working with clients who are similarly committed to their business ventures and invest in themselves.

Katie serves as trusted outside corporate counsel to privately held companies and their owners, providing comprehensive guidance on a wide range of operational, governance, and strategic legal matters. She advises businesses on entity formation and structuring, ongoing corporate compliance, shareholder and operating agreements, and day‑to‑day issues that throughout the business lifecycle.

She also has extensive experience negotiating and preparing commercial contracts across industries, including manufacturing, medical, fintech and financial institutions. She works closely with business owners to ensure that their contracts are aligned with immediate needs and long‑term goals.

A significant portion of Katie’s practice is devoted to business acquisitions and dispositions. She represents buyers and sellers in transactions ranging from small, first‑time business purchases to complex, multimillion‑dollar deals. She has successfully handled deals at every scale, including transactions large enough to require federal antitrust review under the Hart‑Scott‑Rodino Act. Katie’s M&A work includes drafting and negotiating purchase and sale agreements, managing due diligence, coordinating with financial and tax advisors, and guiding clients through each phase of the transaction.

Katie represents clients in acquiring, leasing, and selling commercial and residential real estate, and regularly advises on land use and zoning matters. She helps clients evaluate property‑related risks and opportunities, negotiate and draft real estate agreements, and navigate the regulatory frameworks that affect development and use.
